Terms of Service

About these Terms

These Terms of Service (“Terms”) apply to services supplied by Pageward Studio (“Pageward Studio”, “we”, “us”, or “our”).

By asking us to proceed with paid work, accepting a quote or proposal, paying an invoice, or otherwise confirming that you wish us to provide services, you agree to these Terms.

These Terms should be read together with any proposal, invoice, written scope of work, and, where applicable, our Managed Website Care Terms.

Our services

Pageward Studio provides website-related services including:

  • Website redesign
  • Website development
  • Website copywriting and content restructuring
  • Mobile optimisation
  • Website migration and launch
  • Domain and DNS configuration associated with website launch
  • Contact and enquiry form setup
  • Basic on-page SEO setup
  • Managed Website Care
  • Other website-related services agreed in writing

The exact scope of each project will be based on the offer, proposal, invoice, email correspondence, or other written agreement between Pageward Studio and the client.

Free Website Preview

Pageward Studio may offer eligible businesses a Free Website Preview.

The Free Website Preview is generally a redesigned concept for the business's homepage. It is intended to demonstrate a possible new visual direction for the website and is not a completed website.

Unless otherwise agreed:

  • The preview is provided free of charge.
  • There is no obligation to proceed with a paid website.
  • The client's existing website remains unchanged.
  • The preview may not contain every final feature, page, link, integration, or piece of content.
  • The preview is a concept and may change during completion of the final website.

Our goal is to provide eligible previews by the next business day, but this is a target rather than a guaranteed deadline. Delays may occasionally occur due to workload, technical issues, public holidays, or other circumstances.

Website Implementation

If the client approves the general direction of the preview and asks Pageward Studio to proceed, the standard Website Implementation fee is:

$199 one-off, unless another price has been agreed in writing.

The Website Implementation service generally includes:

  • Completion of the agreed website
  • Design and layout
  • Mobile optimisation
  • Transfer and reorganisation of useful existing content
  • Reasonable copy improvements
  • Calls to action
  • Contact or enquiry forms
  • Basic on-page SEO elements
  • Domain connection
  • Technical launch
  • Reasonable pre-launch testing
  • Minor revisions before launch

Anything outside the agreed project scope may incur an additional fee, which will be discussed with the client before the additional work is undertaken.

Payment and pricing

Unless otherwise agreed in writing, the Website Implementation fee must be paid before Pageward Studio is required to complete and launch the full website.

Invoices must be paid by the due date shown on the invoice.

Pageward Studio may pause work where an invoice is overdue.

Any recurring Managed Website Care fees are governed by the separate Managed Website Care Terms.

All prices displayed by Pageward Studio are in New Zealand dollars unless stated otherwise.

If Pageward Studio is required to charge GST, applicable GST will be handled in accordance with New Zealand law and clearly identified where required.

Client information and access

The client agrees to provide information and access that Pageward Studio reasonably requires to complete the project. This may include:

  • Business information
  • Logo files
  • Images
  • Existing website content
  • Service information
  • Contact details
  • Domain access
  • DNS access
  • Information regarding existing email services
  • Feedback and approvals

The client is responsible for ensuring that information supplied to Pageward Studio is accurate.

Project delays caused by missing information, delayed approvals, inaccessible accounts, or other matters outside Pageward Studio's control may result in a delayed completion or launch date.

Client-provided material

The client is responsible for ensuring that they have the right to use any:

  • Images
  • Logos
  • Text
  • Videos
  • Graphics
  • Trademarks
  • Testimonials
  • Reviews
  • Other material

By providing material to us, the client gives Pageward Studio permission to use, reproduce, modify, resize, format, and publish that material as reasonably necessary to provide the agreed services.

The client remains responsible for the legality and accuracy of its business claims, service descriptions, pricing, qualifications, licences, promotions, warranties, and other commercial information.

Pageward Studio may refuse to publish content that we reasonably believe is unlawful, misleading, infringing, harmful, or otherwise inappropriate.

Copywriting and content approval

Where copywriting or content improvement is included, Pageward Studio may rewrite, restructure, shorten, expand, or reorganise information from the client's existing website and other material supplied or approved by the client.

The client is responsible for reviewing the final website and confirming that factual statements about the business are correct before launch.

Approval to launch will be treated as confirmation that the client has had a reasonable opportunity to review the site's content.

Pageward Studio may use publicly available business information when creating a preview or website, including publicly displayed customer reviews.

Where reviews are displayed, we may shorten or format them for website presentation provided we do not intentionally change the meaning of the review. The client may ask us to remove or replace a review before launch.

Revisions and additional work

Reasonable minor revisions are included before the website goes live. Examples may include:

  • Small wording changes
  • Image substitutions
  • Minor spacing or layout changes
  • Correcting factual information
  • Small changes to colours or headings

Major changes in direction, substantial redesigns after approval of the original concept, additional pages, additional functionality, or newly requested features may be treated as additional work.

We will tell the client before undertaking additional chargeable work.

Better Website Guarantee

Where the Better Website Guarantee forms part of the client's offer, Pageward Studio will build or prepare the new website while the existing website remains live wherever reasonably practicable.

The client will have an opportunity to review the proposed redesign before the existing website is replaced.

If the client does not believe the proposed redesign is a clear improvement and does not wish to proceed, they are not required to launch it.

This guarantee does not entitle a client to use a completed unpaid website, design, or project files without Pageward Studio's permission.

Domains, DNS, and email

Unless Pageward Studio has specifically registered a domain on the client's behalf under a separate agreement, the client's existing domain remains the client's property or remains registered to the existing domain holder. Pageward Studio does not claim ownership of a client's domain.

Where Pageward Studio assists with DNS or domain configuration, the client authorises us to make the changes reasonably necessary to connect the new website.

Where a domain is also used for business email, Pageward Studio will take reasonable care to preserve the existing email configuration when making website-related DNS changes.

However, DNS, domain, email, hosting, and third-party systems can occasionally behave unpredictably. We do not guarantee that third-party email or domain services will be uninterrupted in every circumstance.

If Pageward Studio causes an issue through an error within our control, we will take reasonable steps to correct that issue promptly.

Third-party services

Our websites may rely on services supplied by third parties, including services relating to:

  • Website hosting
  • Domain names
  • DNS
  • Forms
  • Email
  • Fonts
  • Code libraries
  • Website development platforms
  • Cloud infrastructure
  • Payment processing
  • Analytics or other integrations

Pageward Studio does not control these third-party services and cannot guarantee that they will always remain available, unchanged, or error-free.

Third-party services may change their:

  • Pricing
  • Features
  • Terms
  • APIs
  • Technical requirements
  • Availability

If a third-party change materially affects a client's website, we will work with the client to identify a reasonable solution.

Any third-party cost not expressly included in the Pageward Studio service remains the client's responsibility.

No guarantee of business results

Pageward Studio's role is to improve the presentation, usability, professionalism, and maintainability of the client's website.

We do not guarantee:

  • A particular number of leads
  • A particular number of sales
  • Increased revenue
  • Search-engine rankings
  • Google placement
  • Website traffic
  • Conversion rates
  • Customer reviews
  • Any specific commercial result

Website performance depends on many factors outside our control, including the client's market, offer, reputation, pricing, competition, advertising, search demand, and other business activities.

Basic on-page SEO

Where basic on-page SEO is included, this may involve items such as:

  • Page titles
  • Meta descriptions
  • Heading structure
  • Clear page content
  • Logical site structure
  • Basic technical optimisation

This is not a guarantee of search-engine rankings and does not constitute a comprehensive ongoing SEO service unless specifically agreed.

Ownership and intellectual property

The client continues to own content and intellectual property that they supplied to Pageward Studio.

Third-party software, fonts, libraries, platforms, templates, images, or other licensed materials remain subject to their respective licences and ownership rights.

Pageward Studio retains ownership of its pre-existing:

  • Processes
  • Systems
  • Know-how
  • Reusable components
  • Internal templates
  • Development methods
  • Business materials

Once all amounts due for a website project have been paid, the client receives the right to use the completed website for their business.

Where a website is later transferred away from Pageward Studio, we will provide reasonable assistance to transfer or export the website to the extent technically supported by the relevant platform and third-party services.

Portfolio use

Unless the client asks us not to, Pageward Studio may display the completed website, screenshots, business name, and before-and-after examples in our:

  • Portfolio
  • Website
  • Proposals
  • Social media
  • Marketing material

We will not intentionally publish confidential information supplied by the client.

A client may ask us not to use their project publicly.

Confidentiality

Each party agrees to take reasonable care with confidential business information received from the other party.

This does not apply to information that:

  • Is already publicly available
  • Was lawfully known beforehand
  • Is independently obtained from another lawful source
  • Must be disclosed by law

Security

Pageward Studio will take reasonable measures when building and managing websites, but no website or online service can be guaranteed to be completely secure.

We are not responsible for security incidents caused by circumstances outside our reasonable control, including compromised client passwords, third-party platform vulnerabilities, domain registrar breaches, or external cyberattacks.

Liability

To the maximum extent permitted by New Zealand law, Pageward Studio will not be liable for indirect or consequential loss, including loss of profits, lost business opportunities, loss of anticipated savings, or loss caused by third-party service outages.

Where Pageward Studio is legally liable in connection with a paid website project, our total liability arising from that project will, to the extent permitted by law, be limited to the amount the client paid Pageward Studio for the service giving rise to the claim.

Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited.

Events outside our control

Pageward Studio will not be responsible for delays or failures caused by events reasonably outside our control, including:

  • Internet outages
  • Hosting outages
  • Domain registrar problems
  • Third-party service failures
  • Cyberattacks
  • Natural disasters
  • Government restrictions
  • Serious illness
  • Power outages

We will take reasonable steps to minimise disruption where practicable.

Ending a project

Either party may end a project before completion by giving written notice.

If a paid project has already commenced, Pageward Studio may retain or charge a reasonable amount reflecting work already completed and non-refundable costs already incurred.

If Pageward Studio materially fails to provide the agreed service and does not remedy the issue within a reasonable period after receiving written notice, the client retains any remedies available under applicable New Zealand law.

Managed Website Care

If the client uses Managed Website Care, the separate Managed Website Care Terms also apply.

If there is an inconsistency between these general Terms and the Managed Website Care Terms regarding the ongoing care service, the Managed Website Care Terms will apply to that service.

Changes to these Terms

We may update these Terms from time to time.

Changes will apply to new services and future transactions from the date the updated Terms are published.

For an existing ongoing service, we will provide reasonable notice of any material change that affects the client's rights or fees.

New Zealand law

These Terms are governed by New Zealand law.

Nothing in these Terms excludes rights or obligations that cannot lawfully be excluded under New Zealand legislation.
