Managed Website Care Terms

About these terms
These Managed Website Care Terms apply to clients subscribed to Pageward Studio's Managed Website Care service.
They should be read together with the general Pageward Studio Terms of Service.
By asking us to activate Managed Website Care, allowing the website to launch under the Managed Website Care arrangement, or paying a Managed Website Care invoice, the client agrees to these terms.
The service
Managed Website Care is an ongoing website management service intended to remove the need for the client to manage the technical operation and routine updating of their website.
The standard price is:
$99 per month, unless another amount has been agreed in writing.
The standard service includes:
- Website hosting
- SSL/HTTPS
- Routine technical upkeep
- Troubleshooting
- Reasonable efforts to keep the website live and functioning
- Up to one hour of routine website edits per month
- Wording changes
- Image changes
- Service updates
- Opening-hour changes
- Staff or team updates
- Fresh customer-review updates
- Seasonal promotion updates
- Minor usability or design improvements
- Ongoing website support
Start date and billing
Managed Website Care begins when the new website goes live, unless otherwise agreed.
Under Pageward Studio's standard offer:
The first $99 Managed Website Care payment is due one month after the website goes live. After that, the service is billed monthly.
The $199 Website Implementation fee and $99/month Managed Website Care fee are separate charges.
Hosting and third-party costs
Standard website hosting for the Pageward Studio-built website is included within the Managed Website Care fee.
There is no separate Pageward Studio hosting fee while the Managed Website Care plan remains active.
This does not necessarily include separately purchased third-party products or services such as:
- Domain registration
- Premium software
- Paid plugins or integrations
- Paid email services
- Ecommerce platform subscriptions
- Specialised third-party services
unless specifically stated in writing.
Included monthly editing
Managed Website Care includes up to one hour of routine website editing work per monthly billing period.
Examples include:
- Changing wording
- Replacing photographs
- Updating staff details
- Changing contact information
- Updating opening hours
- Editing service information
- Adding or changing a promotion
- Updating testimonials or reviews
- Small layout adjustments
The one-hour allowance relates to the reasonable time required by Pageward Studio to implement the requested website changes.
Unused monthly editing time:
- Does not accumulate
- Does not roll over
- Cannot be transferred to another month
- Has no cash value
A new allowance becomes available during each monthly service period.
Work outside the monthly allowance
The monthly allowance is intended for routine updates rather than major development work.
The following will generally fall outside the standard allowance:
- Building substantial new pages
- Major website redesigns
- Ecommerce systems
- Booking systems
- Custom software development
- Complex integrations
- Large-scale copywriting projects
- Major changes in website structure
- Large image or product uploads
- Complete rebranding
- Significant new functionality
If a request is likely to exceed the included allowance, Pageward Studio will discuss the options with the client before undertaking additional chargeable work.
We may:
- Quote separately
- Agree an additional hourly charge
- Complete part of the request within the monthly allowance
- Agree to complete remaining work in a future period
Requesting updates
Clients can send routine update requests using the contact method nominated by Pageward Studio.
The client should provide enough information for us to understand the requested change. Where practical, this should include:
- The page to change
- The wording or information to add
- Any replacement images
- Promotion dates
- Any relevant links
Pageward Studio may ask for clarification before implementing a request.
Update turnaround
Pageward Studio will aim to complete routine website update requests within a reasonable timeframe.
We do not guarantee immediate or same-day completion unless this has specifically been agreed.
Turnaround may depend on:
- Complexity
- Current workload
- Whether additional information is required
- Third-party systems
- Weekends
- Public holidays
- Urgency of the request
Urgent work may be accommodated where reasonably possible but is not guaranteed.
Customer-review updates
As part of Managed Website Care, Pageward Studio may periodically review publicly available customer reviews and update the reviews shown on the client's website.
The client may also send us reviews they would like considered.
Pageward Studio does not guarantee:
- That new reviews will be received
- A particular review rating
- A particular number of reviews
- That a review will remain publicly available
We will not knowingly fabricate customer reviews.
Promotions and seasonal content
The client may ask Pageward Studio to update parts of the website to reflect:
- Seasonal services
- Promotions
- Limited-time offers
- New services
- Announcements
- Changes in trading hours
The client is responsible for making sure promotional information is accurate and lawful.
The client should advise Pageward Studio when a time-limited promotion should begin and end.
Where the client does not advise us that a promotion has expired, Pageward Studio is not responsible for the promotion remaining visible longer than intended.
Client responsibilities
To allow Pageward Studio to provide Managed Website Care effectively, the client must:
- Provide accurate information
- Notify us when business information changes
- Supply requested content or images
- Respond to reasonable questions
- Maintain control of their domain registration unless another arrangement is agreed
- Pay invoices when due
- Avoid making unauthorised technical changes that could interfere with the website
The client remains responsible for the accuracy and legality of the information advertised on their website.
Domains and DNS
The client's domain remains theirs.
Pageward Studio does not obtain ownership of a client's existing domain merely because we manage the website or DNS configuration.
The client is responsible for keeping their domain registration paid and active unless Pageward Studio has specifically agreed to manage domain renewal on their behalf.
The client authorises Pageward Studio to make reasonable website-related DNS or domain configuration changes where necessary to provide the service.
We will take reasonable care not to interfere with existing email or unrelated DNS services.
The client should tell us about any important third-party services connected to their domain before changes are made.
Website availability
Pageward Studio will use reasonable efforts to keep Managed Website Care websites available and operational. However, uninterrupted uptime cannot be guaranteed.
Websites may occasionally be unavailable due to:
- Scheduled maintenance
- Hosting-provider outages
- Internet infrastructure problems
- Domain or DNS issues
- Software problems
- Cyberattacks
- Third-party outages
- Emergency maintenance
- Events outside our reasonable control
Pageward Studio will take reasonable steps to investigate and resolve issues within our control.
Managed Website Care is not sold with a guaranteed uptime service-level agreement unless specifically agreed in writing.
Third-party infrastructure
The website may depend on third-party infrastructure or technology.
Third-party providers can change their pricing, features, limits, availability, or terms without Pageward Studio's control.
If a third-party change materially affects the ability to continue providing the website under the existing arrangement, Pageward Studio will discuss available options with the client.
Where a replacement service creates a material additional cost, that cost will not automatically be absorbed by Pageward Studio.
We will tell the client about any material additional charge before committing them to it.
Security
Managed Website Care includes reasonable technical upkeep but does not constitute a guarantee against hacking, malware, data loss, cyberattacks, or other security incidents.
Pageward Studio will take reasonable security precautions appropriate to the services being provided.
The client must also take reasonable care of:
- Passwords
- Email accounts
- Domain registrar access
- Third-party account credentials
The client should notify Pageward Studio promptly if they suspect an account or website has been compromised.
Backups and recovery
Where supported by the hosting platform, Pageward Studio may rely on platform-level version history, backups, source control, exports, or similar recovery mechanisms.
Unless specifically agreed, Managed Website Care does not constitute a dedicated archival or disaster-recovery service.
Clients who require specific backup retention periods or recovery guarantees should discuss those requirements with Pageward Studio separately.
Website ownership and transfer
The client's domain remains theirs and client-supplied content remains theirs.
If the client ends Managed Website Care, Pageward Studio will provide reasonable assistance to transfer or export the website so the client can arrange their own hosting or website management.
Any transfer is subject to:
- All outstanding Pageward Studio invoices being paid
- Technical capabilities of the website platform
- Third-party platform terms and licences
- The client's new provider being able to host or use the transferred website
Pageward Studio does not guarantee that every third-party service or proprietary platform feature can be transferred to another provider exactly as-is.
Where reasonably possible, we will provide the website code, project, export, or other practical transfer method available to us.
The client remains responsible for arranging replacement hosting and ongoing technical management after cancellation.
Client cancellation
Managed Website Care has no minimum commitment period unless otherwise agreed in writing.
The client may cancel at any time by notifying Pageward Studio in writing.
Cancellation will normally take effect at the end of the client's current paid billing period.
Monthly fees already paid are not ordinarily refunded for a partially used billing period, except where required by law or agreed by Pageward Studio.
The client may continue receiving the service until the end of the paid period.
Once Managed Website Care ends:
- Pageward Studio is no longer required to host the website.
- Included monthly editing ends.
- Technical support ends.
- Review updates end.
- Promotion updates end.
- SSL/hosting supplied through Pageward Studio may cease.
- The client becomes responsible for replacement hosting and management.
Pageward Studio will provide reasonable cooperation to facilitate transfer, provided the client's account is paid up to date.
Clients should arrange replacement hosting before the care period ends if they want to avoid interruption.
Discontinuing the service
Pageward Studio may discontinue Managed Website Care by giving the client reasonable written notice. Where practical, we will provide at least 30 days' notice.
We may suspend or terminate the service sooner where there is:
- Serious misuse of the service
- Illegal content
- Abuse or threats directed at Pageward Studio
- A serious security risk
- Repeated non-payment
- Conduct that makes it unreasonable for us to continue providing the service
Where practicable, we will provide the client an opportunity to remedy an issue before termination.
Failed or overdue payments
If a monthly payment fails or an invoice becomes overdue, Pageward Studio may contact the client and request payment.
If the payment remains outstanding, we may suspend:
- Website changes
- Ongoing support
- Other Managed Website Care services
We will not normally intentionally take a client's website offline immediately because a payment is a few days late.
For continued or significant non-payment, Pageward Studio may terminate the Managed Website Care service after giving reasonable notice.
Price changes
Pageward Studio may change the price of Managed Website Care in the future.
Existing clients will receive reasonable advance notice of any change to their recurring price.
A price change will not be applied retrospectively.
If the client does not wish to continue at the new price, they may cancel before the new pricing takes effect.
No guarantee of business results
Managed Website Care is a website management service.
Pageward Studio does not guarantee that the service will produce:
- Additional customers
- Additional enquiries
- Additional reviews
- Higher revenue
- Better search rankings
- Particular levels of website traffic
Our role is to keep the website professionally presented, technically maintained, and reasonably current within the agreed service.
Liability
To the maximum extent permitted by New Zealand law, Pageward Studio will not be liable for indirect or consequential loss arising from Managed Website Care, including lost profits, lost opportunities, or loss caused by third-party outages or services outside our reasonable control.
Where Pageward Studio is legally liable in connection with Managed Website Care, our total liability will, to the extent permitted by law, be limited to the fees paid by the client for Managed Website Care during the six months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited.
Changes to these terms
Pageward Studio may update these Managed Website Care Terms from time to time.
For an existing client, we will give reasonable notice of a material change that affects the client's ongoing service, fees, or rights.
If the client does not wish to accept a material change, they may cancel the service before that change takes effect.
Other terms and New Zealand law
Pageward Studio's general Terms of Service and Privacy Policy also apply.
If these Managed Website Care Terms conflict with the general Terms regarding the Managed Website Care service, these Managed Website Care Terms take priority for that service.
These terms are governed by New Zealand law.
Nothing in these terms excludes rights or obligations that cannot lawfully be excluded.
